Documents clients need to provide

To carry out the company incorporation procedures, clients only need to provide:

  • Personal documents of the owner and capital-contributing members: a valid citizen ID card (CCCD) or passport; notarized copies no more than 6 months old.
  • Personal documents of the legal representative: a valid CCCD or passport, notarized copies no more than 6 months old. A company may appoint one or more legal representatives depending on its governance needs; at least 01 legal representative must reside in Vietnam.
  • Proposed company name: must not duplicate or be confusingly similar to another business's name, and must comply with legal requirements.
  • Proposed business lines: selected under the Vietnam Standard Industrial Classification; conditions must be met for conditional business lines.
  • Head office address: a legally valid location (not in an apartment building or collective housing intended for residence); with a land use right certificate or office lease agreement (if any).
  • Charter capital: declare a capital level appropriate to the business lines; proof of finances is not required except for sectors with statutory capital requirements.
  • Other related documents (case by case): the capital contribution decision (for institutional contributors); the company charter in the prescribed form; the list of members/shareholders (if there are two or more members).
